Article 1  Both party a and party b are jointly responsible

（One）Strictly abide by relevant national laws and regulations as well as regulations on clean and honest practice。

（Two）Strictly abide by business ethics and market rules，Creating a fair and just business transaction environment together。

（Three）Strengthen the management of relevant personnel and adhere to business ethics education，Consciously resist unethical behavior。Discovering that the other party has violated rules, disciplines, and laws during business activities，Should promptly report to the other party's supervisory department or judicial authority。

Article 2  Responsibilities of party a and its personnel

（One）Shall not solicit or accept kickbacks provided by party b and its related units and personnel、Cash gift、Securities、Payment voucher、Valuable items, etc。

（Two）Party b and its related units shall not reimburse any expenses that should be paid by party a or individuals。

（Three）Not allowed to violate regulations by investing or buying shares in party b and its related units，Not allowed to borrow or entrust the buying and selling of stocks from party b's units and personnel、Bonds, etc。

（Four）Not allowed to request、Implies and accepts the purchase or decoration of housing by party b and its related units and individuals、Marriage and funeral、School or work arrangements for spouses and children, as well as going abroad（The environment）、Provide convenience for travel and other activities。

（Five）Not allowed to participate in banquets and entertainment activities arranged by party b and its related units that may affect the fair execution of official duties。

（Six）Not accepting communication tools purchased or provided by party b and its related units、Transportation and high-end office supplies。

（Seven）Not allowed to use their authority to use party b and its related units as their spouse、Children and others seeking illegitimate benefits。

（Eight）Not allowed to violate regulations by taking part-time jobs or receiving part-time wages and remuneration from party b or its related units；Not allowed to use the trade secrets of party a、Seeking personal gain through business channels and other means，Or provide it for leakage to party b and other enterprises and individuals。

（Nine）Not allowed to use their authority and work convenience to propose to party b any matters or requirements unrelated to the work business, other than those prohibited by the above regulations or requirements。

Article 3  Responsibilities of party b and its personnel

（One）Not allowed to provide kickbacks to party a and its personnel、Cash gift、Securities、Payment voucher、Valuable items, etc。

（Two）Party a and its personnel shall not be reimbursed for expenses that should be paid by party a or individuals。

（Three）Not allowed to invest or buy shares for personnel of party a、Personal borrowing or buying and selling stocks、Bonds and other services provide convenience。

（Four）Not allowed to purchase or decorate housing for personnel of party a、Marriage and funeral、Spouse and children's school or work arrangements, as well as going abroad（The environment）、Provide convenience for travel and other activities。

（Five）No banquet that may affect the impartial performance of official duties shall be arranged for the personnel of party a、Entertainment and other activities。

（Six）Not allowed to purchase or provide communication tools for party a and its personnel、Transportation and high-end office supplies。

（Seven）Not allowed to be the spouse of personnel of party a、Providing convenience for children and other relatives seeking improper benefits。

（Eight）Party a personnel shall not be arranged to work part-time or receive part-time wages and remuneration in party b or its related enterprises in violation of regulations；Do not use illegal means to inquire about any trade secrets related to party a to personnel of party a、Business channels, etc。

（Nine）When party a investigates suspected unethical business practices，The second party has cooperated with the first party to provide evidence、Obligation to testify。

（Ten）Without the written consent of party a，The second party shall not disclose to any news media、The third party mentioned relevant Yuechen electronicsEvaluation of personnel's adherence to business ethics、Information。

Article 4  Liability for breach of contract

（One）甲方及其人员有违反本协议书第One条、The second provision stipulates，According to management permissions，Disciplinary or organizational measures shall be taken against relevant personnel in accordance with relevant laws, regulations, and provisions；Suspected of committing a crime，Transfer to judicial authorities to pursue criminal responsibility。

Not belonging to Yuechen electronicsManaged enterprises，Based on the specific circumstances and the resulting consequences，The first party has the right to demand compensation from the second party for any losses incurred by the first party as a result，They will also be separately Yuechen electronicsProvide notification within the scope、Restricting or prohibiting the processing of transactions with it；Suspected of committing a crime，Suggest judicial authorities to pursue criminal responsibility。

Article 5  This agreement shall come into effect upon signature by both parties，Valid until Year Month Day。

Both party a and party b sign a procurement contract through bidding or other means，This agreement serves as an attachment to all procurement contracts between both parties，Has the same legal effect as the contract；If both parties have not signed a procurement contract，This agreement is independent and valid。

Article 6  After the completion of the procurement contract, both parties and their personnel，Occurrence or discovery of violations of the provisions of this agreement，Still handle according to the provisions of this agreement。
